Introduction
This Vendor Agreement (the “Agreement”) is entered into by and between Unoboss, a subsidiary of Ivx Group, registered in England and Wales, Company No. 17080224, registered address: Suite 70, 60 Tottenham Court Road, London, W1T 2EW, United Kingdom (“Unoboss”), and the vendor identified in the applicable Statement of Work or Purchase Order (“Vendor”). Unoboss and Vendor may be referred to individually as a “Party” and collectively as the “Parties.”
Service Standards
Vendors must deliver services with professional skill and in accordance with the event brief.
Payment Terms
Payments will be processed within 30 days of receiving a valid invoice following the event.
Compliance and Licensing
Vendors must hold all necessary licenses and insurance. Proof must be provided upon request.
Health, Safety, and Insurance
The Vendor must comply with all applicable health and safety legislation in England and Wales. The Vendor shall maintain at its own expense appropriate insurance coverage, including but not limited to Public Liability Insurance and Employers’ Liability Insurance. Proof of insurance must be provided to Unoboss upon request.
Intellectual Property
Any materials, designs, or branding created specifically for an Unoboss event shall become the property of Unoboss. The Vendor is granted a limited, non-exclusive license to use Unoboss branding solely for the performance of the services under this Agreement.
Confidentiality
The Vendor acknowledges that it may have access to confidential information regarding Unoboss, its clients, and its business operations. The Vendor agrees to keep all such information strictly confidential and shall not disclose it to any third party without prior written consent from Unoboss. This obligation survives the termination of this Agreement.
Termination
Unoboss reserves the right to terminate the agreement if services do not meet agreed standards.
Liability and Indemnification
The Vendor shall indemnify and hold Unoboss and Ivx Group harmless against any claims, loss, or damage arising out of the Vendor’s negligence, breach of contract, or willful misconduct. Neither Party shall be liable for indirect or consequential losses.
Force Majeure
Neither Party shall be liable for any delay or failure to perform its obligations if such delay or failure results from events, circumstances, or causes beyond its reasonable control, including but not limited to acts of God, war, or government-mandated lockdowns.
Governing Law and Jurisdiction
This Agreement and any dispute or claim arising out of it shall be governed by and construed in accordance with the laws of England and Wales. The Parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction.
